TEK BROKR - NO MORE WASTED TIME

• Not be prohibited from using our services under applicable law
• Not have been previously suspended or banned from TekBrokr

4. Account Registration and Security

To use TekBrokr, you must create an account by providing accurate, current, and complete information. You agree to:

• Maintain and update your account information to keep it accurate
• Use your real name and work email address
• Not impersonate any person or entity

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Notify us immediately of any unauthorized access or security breach
• Log out of your account at the end of each session on shared devices

5. User Roles and Permissions

Business users can:

• Review vendor proposals for approved projects

5.2 Decision Makers

Decision makers have additional permissions to:

• Access all feedback from their organization's users
• Approve or reject proposed improvement projects
• Set budgets and timelines for approved projects
• Invite vendors to tender for projects
• Evaluate and select vendor proposals

5.3 Vendors

Technology vendors can:

• View project opportunities that match their expertise
• Submit proposals and bids for approved projects
• Communicate with decision makers through the platform
• Showcase their solutions and case studies

6. Acceptable Use Policy

6.1 Prohibited Conduct

You agree NOT to:

• Submit false, misleading, or inaccurate feedback or information
• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload or transmit viruses, malware, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools (bots, scrapers) without written permission
• Harass, abuse, or harm other users

7. Intellectual Property Rights

TekBrokr and its content (including text, graphics, logos, software, and design) are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 User Content License

By submitting content to TekBrokr, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, reproduce, and display your content on the platform
• Aggregate and anonymize your feedback for reporting purposes
• Share your content with authorized users within your organization
• Share approved project details with selected vendors

You retain ownership of your content. You represent and warrant that you have the right to grant this license.

7.3 Feedback and Suggestions

If you provide feedback or suggestions about TekBrokr, we may use them without any obligation to compensate you.

8. Vendor Terms

8.1 Vendor Registration

Vendors must:

• Provide accurate information about their business and services
• Maintain current licenses, certifications, and insurance as applicable
• Comply with all applicable laws and regulations
• Not make false or misleading claims about their capabilities

8.2 Vendor Proposals

When submitting proposals, vendors agree to:

• Provide accurate pricing and timeline estimates
• Honor the terms of accepted proposals
• Maintain confidentiality of client information
• Not contact clients outside the TekBrokr platform without permission

8.3 Commission and Fees

TekBrokr may charge vendors a commission or platform fee for successful project matches. Specific fee structures will be outlined in separate vendor agreements.

9. Data and Privacy

9.1 Data Collection

We collect and process personal data as described in our Privacy Policy. By using TekBrokr, you consent to our data practices.

9.2 Data Sharing

You understand and agree that:

• Feedback you submit may be viewed by decision makers in your organization
• Approved project details may be shared with selected vendors
• Aggregated, anonymized data may be used for platform analytics

9.3 Confidentiality

You are responsible for ensuring that you do not submit confidential or proprietary information that violates your organization's policies or agreements.

10. Payment Terms (If Applicable)

10.1 Subscription Fees

If you subscribe to a paid plan, you agree to pay all applicable fees. Fees are non-refundable except as required by law or as specified in your subscription agreement.

10.2 Auto-Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You can manage your subscription in your account settings.

10.3 Price Changes

We may change our pricing with 30 days' notice. Continued use after price changes constitutes acceptance of the new pricing.

TekBrokr facilitates connections between users and vendors but does not guarantee that:

• Your feedback will result in organizational changes
• Projects will be approved or funded
• Vendors will be selected or deliver successful outcomes
• Any particular level of cost savings or efficiency gains will be achieved

12. Indemnification

You agree to indemnify, defend, and hold harmless TekBrokr, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of the platform
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you submit to the platform

13. Termination

13.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination:

• Your access to the platform will cease
• Your personal data will be deleted in accordance with our Privacy Policy
• Aggregated, anonymized data may be retained

13.2 Termination by TekBrokr

We reserve the right to suspend or terminate your account at any time, with or without notice, for:

13.3 Effect of Termination

Upon termination, all licenses granted to you will terminate, and you must cease all use of the platform. Sections that by their nature should survive termination will remain in effect.
